These Terms and Conditions ("Terms") govern your access to and use of Rescope Technologies, Inc.'s ("Rescope," "we," "us," or "our") website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account or using our Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Rescope provides zoning analysis, building code compliance checking, and permit tracking tools for real estate and construction professionals. Our Services include:

  • Zoning feasibility analysis for property addresses
  • Building code compliance review for construction documents
  • Permit status tracking and notifications
  • API access for integrations (on applicable plans)

3. Service Level Agreement

Rescope is committed to providing reliable and consistent access to our Services.

3.1 Uptime Commitment

We target 99.9% availability for our Services, measured on a monthly basis. This excludes scheduled maintenance windows and circumstances beyond our reasonable control.

3.2 Scheduled Maintenance

We perform routine maintenance during low-usage periods (typically weekends, 2:00-6:00 AM Pacific Time). We will provide at least 48 hours' notice for scheduled maintenance that may affect service availability. Emergency maintenance may be performed without notice when necessary to protect the integrity of the Services.

3.3 Service Credits

If we fail to meet our uptime commitment in any calendar month, affected customers on paid plans may request service credits. Credits are calculated as a percentage of that month's fees based on downtime duration and will be applied to future invoices. Service credits are your sole remedy for any downtime or service interruptions.

4. Data Processing

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

4.1 Data Processing Agreement

For customers who require a Data Processing Agreement (DPA) for GDPR compliance or other regulatory requirements, we offer a standard DPA upon request. Contact [email protected] to request a copy.

4.2 Data Ownership

You retain all ownership rights to the data you upload to our Services. Upon termination of your account, you may request an export of your data within 90 days. After this period, your data will be permanently deleted in accordance with our data retention policies.

5. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

6. Subscription and Payment

6.1 Pricing and Plans

We offer various subscription plans with different features and pricing. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees.

6.3 Refunds

Subscription fees are generally non-refundable. However, if you cancel within 14 days of your initial subscription and have not used the Services, you may request a full refund.

7. API Usage

For customers with API access enabled on their plan, the following additional terms apply:

7.1 Rate Limits

API usage is subject to rate limits based on your subscription plan. Standard rate limits are:

  • Starter plans: 100 requests per minute, 10,000 requests per day
  • Professional plans: 500 requests per minute, 100,000 requests per day
  • Enterprise plans: Custom limits as specified in your agreement

7.2 Fair Use

API access is provided for legitimate business purposes related to zoning analysis and permit tracking. You may not use the API to:

  • Scrape or bulk-download data for resale or competitive purposes
  • Build a competing service using our data or analysis
  • Exceed your plan's usage limits through multiple accounts
  • Share API credentials with unauthorized third parties

7.3 API Changes

We may modify the API with reasonable notice. We will maintain backward compatibility for at least 12 months after announcing deprecation of any endpoint. Breaking changes will be communicated at least 90 days in advance.

8. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or attempt to derive source code from the Services
  • Use automated scripts to collect information or interact with the Services without our consent
  • Resell or redistribute the Services without authorization
  • Upload malicious code or content that infringes intellectual property rights

9. Intellectual Property

9.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Rescope and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our express written permission.

9.2 Your Content

You retain ownership of content you upload to the Services. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display such content solely to provide the Services to you.

10. Disclaimers

10.1 Information Accuracy

While we strive for accuracy, zoning codes and building regulations change frequently. Information provided through our Services is for informational purposes only and should not be relied upon as legal or professional advice. You should verify all information with the relevant jurisdictional authorities before making decisions.

10.2 AI-Powered Analysis Limitations

Our Services use artificial intelligence and machine learning to analyze documents and provide zoning insights. You acknowledge and agree that:

  • AI-generated analysis is provided as a tool to assist human decision-making, not replace it
  • AI systems may produce errors, omissions, or misinterpretations of complex regulations
  • All AI-generated recommendations should be verified by qualified professionals before acting upon them
  • We continuously improve our AI systems, but cannot guarantee 100% accuracy
  • The AI may not account for recent regulatory changes, local amendments, or jurisdiction-specific interpretations

You are solely responsible for verifying any analysis or recommendations with appropriate licensed professionals (architects, engineers, attorneys) and the relevant permitting authorities.

10.3 No Guarantee of Approval

Use of our Services does not guarantee permit approval or compliance determination by any governmental authority. Final decisions regarding permits and compliance are made solely by the applicable jurisdiction.

10.4 As-Is Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESCOPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Rescope and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

You may cancel your account at any time through your account settings. We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Services immediately ceases, but provisions that by their nature should survive will remain in effect.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

14.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, administered by JAMS under its Commercial Arbitration Rules. You agree to waive any right to a jury trial or to participate in a class action.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Rescope regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign your rights under these Terms without our consent.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services at least 30 days before they take effect. Your continued use after changes become effective constitutes acceptance of the revised Terms.
